TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE FOUNDATION, ITS TRUSTEES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, VOLUNTEERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF THE FOUNDATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict-of-laws principles. The the extent the law of another jurisdiction is deemed by a court or tribunal of competent jurisdiction to overide this conflict of laws provision, that law applies only to the specific provisions of these Terms that gave rise to the override (e.g., public policy).
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio. By using the Site, you irrevocably consent to the personal jurisdiction of and venue in those courts and waive any objection to the laying of venue or the convenience of the forum.
If any claim, dispute, or controversy of any nature arising out of or relating to these Terms or the Site cannot be resolved through good-faith negotiation, the parties agree to submit the matter to non-binding mediation before a mediator mutually agreed upon by the parties before initiating any formal legal proceedings (other than for emergency or injunctive relief).
14 — Geographic Restrictions
The Junaid Family Foundation is based in the State of Ohio in the United States. While the Site is primarily intended for users located in the United States, we recognize that our international philanthropic programs may result in visitors from other countries accessing the Site. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
15 — Accessibility
The Junaid Family Foundation is committed to making this Site accessible to all users, including individuals with disabilities. 16 — Waiver and Severability
No waiver by the Foundation of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by the Foundation to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect. The invalid, illegal, or unenforceable provision will be deemed replaced by a valid, enforceable provision that most closely matches the intent of the original provision.
17 — Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by the Foundation on the Site, constitute the entire agreement between you and the Foundation with respect to your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
18 — Changes to These Terms
We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. The “Effective Date” at the top of these Terms reflects when the most recent version took effect. We encourage you to review these Terms periodically. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes.
[TCT1]TCT: References to disabling a “username, password, or other identifier” imply user accounts. Nothing else in the Site materials indicates accounts exist (the parallel “login credentials” language appears in the Privacy Policy).
